End User License Agreement

This End User License Agreement ("Agreement") governs your use of the proprietary software application ("Application") provided by Access Bookkeeping Solutions. By accessing or using the Application, you agree to be bound by the terms of this Agreement.
1. Purpose and Scope
The Application is a private, internal software tool used exclusively by Access Bookkeeping Solutions to connect to and interact with its own QuickBooks Online account for internal bookkeeping and accounting purposes. This Application is not a consumer product and is not made available to the general public.
2. Limited License
Access Bookkeeping Solutions grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for its intended internal business purposes. This license does not include the right to sublicense, modify, adapt, translate, reverse engineer, decompile, or disassemble the Application.
3. Restrictions on Use
You may not: (a) copy, reproduce, or distribute the Application or any portion thereof; (b) use the Application for any purpose other than the internal bookkeeping and accounting operations of Access Bookkeeping Solutions; (c) share access credentials or allow unauthorized third parties to access the Application; (d) use the Application in any manner that violates applicable laws or regulations.
4. Intuit and QuickBooks API Terms
The Application integrates with QuickBooks Online via Intuit's API. Your use of the Application is subject to Intuit's Developer Agreement and QuickBooks Online Terms of Service, in addition to this Agreement. In the event of a conflict between this Agreement and Intuit's terms, Intuit's terms shall govern with respect to the QuickBooks integration.
5. No Redistribution
The Application and all associated intellectual property, including but not limited to source code, documentation, and design, are the exclusive property of Access Bookkeeping Solutions. You may not redistribute, sell, rent, lease, or otherwise transfer the Application or any rights therein to any third party.
6. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ACCESS BOOKKEEPING SOLUTIONS DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCESS BOOKKEEPING SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Termination
Access Bookkeeping Solutions reserves the right to terminate or suspend your access to the Application at any time, with or without cause, and with or without notice. Upon termination, all rights granted under this Agreement will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to Sections 5, 6, and 7.
9. Governing Law
This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising under this Agreement shall be resolved in the appropriate courts of competent jurisdiction.
